Terms of Service for Sellers

HAYAMA NOWA Seller Terms

HAYAMA NOWA

Article 2 (Transaction Structure)

  1. The Service primarily adopts a drop-shipping model, whereby Sellers ship products directly to Customers.
  2. Notwithstanding the foregoing, upon agreement between the Store and the Seller, the Store may receive inventory from the Seller and store and ship such products to Customers on the Seller's behalf (the "Store-Fulfilled Model").
  3. Even where the Store-Fulfilled Model is applied, the Seller shall remain the legal seller of record and shall bear full responsibility for the quality, legality, labeling, and conformity of the products.

Article 5 (Transfer and Management of Inventory)

  1. Under the Store-Fulfilled Model, the Seller shall deliver inventory to the Store in accordance with the method and location designated by the Store.
  2. Upon receipt of inventory, the Store shall confirm quantity and any obvious external damage; however, the Store does not inspect or guarantee product quality, performance, safety, or internal defects.
  3. Any defects, compliance issues, or labeling deficiencies discovered after delivery shall remain the sole responsibility of the Seller.

Article 6 (Shipping and Delivery Incidents)

  1. Under the Store-Fulfilled Model, the Store shall exercise reasonable care as a custodian when storing and shipping products.
  2. The Store shall not be responsible for inherent product defects, quality issues, aging, deterioration, or manufacturing-related problems.
  3. In the event of shipping accidents, delays, or loss, the Seller shall bear ultimate responsibility unless such issue is caused by the Store's willful misconduct or gross negligence.

Article 7 (Costs and Expenses)

  1. Unless otherwise agreed, all costs related to the transfer of inventory to the Store, storage, handling, and re-shipment shall be borne by the Seller.
  2. Where the Store and the Seller agree otherwise in writing, such agreement shall prevail.

Article 9 (Allocation of Responsibility and Disclaimer)

  1. Regardless of whether products are shipped by the Seller or the Store, the Seller shall remain fully responsible as the seller of record.
  2. The Store acts solely as a marketplace operator and, where applicable, a fulfillment agent, and shall not be liable for product quality, safety, efficacy, or compliance unless caused by the Store's willful misconduct or gross negligence.

Article 13 (Individual Agreements)

Details of the Store-Fulfilled Model, including inventory volume, storage period, cost allocation, and return handling, may be separately agreed upon between the Store and the Seller on a case-by-case basis.
